  • Your Beta Experience: Mellions is powered by generative AI to assist you in managing your finances. While in beta, you may see feature changes and occasional bugs.
  • Your Agreement: By clicking "I Accept" or continuing to use Mellions, you confirm that you have read and accepted these Terms, our Privacy Policy, and our Cookie Policy.
  • Your Account: Mellions is reserved for adult Canadian and Québec residents.
  • Your Data: Only the data you authorize is included in Mellions.
  • Communications: You can reach out regarding your data; we only communicate with you, based on your consent.

1. Introduction

Key Point:By using Mellions, you agree to these Terms. You must be an adult Canadian resident, agree to these Terms, and accept our Privacy Policy. Mellions uses AI to provide insights—but we're not financial advisors, and this is not professional advice. Continuing to use Mellions means you accept any updates to these Terms.

1.1. Agreement to Terms

These Terms of Service ("Terms"), together with our Privacy Policy, govern your access to and use of Mellions (the "Services") provided by Leta Tech Ltd. ("Mellions," "we," "us"). By clicking "I Agree," registering, or using the Services, you confirm that you have read, understood, and unconditionally accept these Terms. If you do not agree, do not use the Services.

1.2. Language Notice

A French version of these Terms is available first; by using these English Terms, you confirm you've had the opportunity to read the French version and expressly agree to be bound by English.

2. Definitions

All capitalized terms not otherwise defined in this document shall have the meaning assigned to them in the dictionary.

3. Eligibility & Account

3.1 Age & Legal Capacity

You must be at least the age of majority in your province of residence and legally capable of entering contracts. Mellions does not knowingly accept users under the age of majority. If we reasonably believe you are underage, we may request proof of age or suspend your Account.

3.2 Residency

You must reside in Canada. Mellions is intended solely for Canadian residents; if you move outside Canada, you must stop using the Services.

3.3 Account Registration & Verification

To register, you must provide accurate, current, and complete information. We may verify your identity and residency using third-party ID services or document checks. If you fail verification, we may suspend or terminate your Account.

3.4 Account Security & MFA

You are responsible for safeguarding your Account credentials. We require multi-factor authentication (MFA) for sensitive actions. Notify us immediately of any suspected unauthorized access.

3.5 Suspension & Termination for Cause

We may suspend or terminate your Account without notice if you violate these Terms, provide false information, or misuse the Services (see Section 7). Upon termination, your access ends and your data will be handled per our Privacy Policy.

4. Description of Services

4.1 Core Features

The "Services" include, without limitation, all functionality that enables you to link and view your financial accounts, automatically categorize transactions, create and track budgets and savings goals, receive AI-driven insights and real-time alerts, and interact with our platform via web or mobile applications.

4.2 No Professional Financial Advice

The Services are informational only; Mellions is not a financial planner, broker, or tax advisor. We do not provide personalized investment or legal advice, and no fiduciary relationship is created by your use of the Services. Always consult a qualified professional before making any financial decisions.

4.3 Third-Party Integrations

Mellions may connect to third-party financial institutions via a Third-Party Aggregator (e.g., Plaid). You authorize these connections and may disconnect at any time in your Account settings. Mellions is not responsible for the accuracy or availability of data from external providers.

4.4 Service Levels & Force Majeure

We aim for 99.5% availability, excluding scheduled maintenance. However, the Services are provided "as is" and may be affected by events beyond our control (e.g., outages, natural disasters, third-party failures).

4.5 Versioning & Migration Policy

We may update or replace APIs and AI models. We will announce major version changes at least 30 days in advance and provide migration tools where feasible.

5. Privacy & Data Protection

5.1 Incorporation of Privacy Policy

Your use of the Services is governed by our Privacy Policy, which describes what information we collect, why, and how you can exercise your privacy rights (access, correction, deletion, portability). By accepting these Terms, you consent to our data practices as set out in the Privacy Policy.

5.2 Data Collection, Use & Retention

We collect personal and financial data you provide or authorize us to retrieve via Third-Party Aggregators. We use it to provide and improve the Services, comply with legal obligations, and for aggregated analytics. We retain your data only as long as necessary for these purposes, after which we delete or anonymize it, in compliance with PIPEDA and Québec's Law 25.

5.3 User Rights (Access, Correction, Deletion, Portability)

You have the right to:

  • Access your personal data we hold.
  • Correct any inaccuracies.
  • Delete your data or request account termination.
  • Port your data in a structured, machine-readable format.

5.4 Cross-Border Transfers

Your data may be stored or processed in Canada or other jurisdictions by our service providers. We ensure these transfers meet the requirements of applicable privacy laws and maintain equivalent protections.

5.5 Data Breach Notification

If we become aware of a security breach involving your personal data that poses a real risk of significant harm, we will notify you and the relevant privacy authorities in accordance with PIPEDA and Québec's Law 25.

6. Cookies & Tracking Technologies

6.1 Consent & Categories

We use cookies and similar technologies to operate and improve the Services. Our banner divides cookies into:

  • Strictly Necessary: Required for basic functionality.
  • Functional & Performance: Enhance your experience.
  • Analytics & Marketing: Help us understand usage and deliver relevant content.

By clicking "Accept All" or continuing to use the Services, you consent to our use of all cookie categories. You may click "Manage Preferences" on the banner at any time or adjust your browser settings to withdraw consent (see Section 6.2).

7. Marketing Communications (CASL)

7.1 Separate Opt-In Required

We will only send you Commercial Electronic Messages (e.g., emails, SMS) if you expressly opt-in by checking an unchecked box. We do not bundle this with other consents.

7.2 Identification & Unsubscribe

Every message will clearly identify Mellions and include a functional unsubscribe link. You may withdraw your consent at any time, at no cost. We will retain proof of your consent for at least three years in compliance with CASL.

8. AI Transparency & Disclaimers

8.1 Informational Only

All AI-generated content (insights, suggestions, recommendations) is provided strictly for informational purposes. They do not constitute financial, legal, tax, or other professional advice, and do not create any fiduciary relationship between you and Mellions. Outcomes are not guaranteed and may vary based on the quality and availability of the underlying data. You remain fully responsible for any decision you make based on this information.

8.2 Accuracy & Bias Warnings

AI models may be imperfect or biased. You should not rely solely on AI outputs. Always verify recommendations against your own data and, if needed, seek independent advice.

8.3 Human-in-the-Loop & Explanation Rights

You have the right to:

  • Be informed of the main factors, parameters, and general logic leading to any AI-driven recommendation or automated decision affecting you.
  • Request disclosure of personal information used to render that decision.
  • Submit your observations and obtain human intervention to review the decision.

9. User Conduct & Acceptable Use

You agree to use the Services only for lawful, personal, non-commercial purposes and to comply with:

9.1 Lawful, Personal Use Only

No use for commercial resale, unauthorized research, or any criminal activity (fraud, hate speech, defamation).

9.2 No Reverse Engineering or Abuse

You may not:

  • Bypass our security measures or attempt to reverse engineer the Services.
  • Use bots, scrapers, or other automated means to access or collect data.

9.3 Accuracy of User-Provided Data

You are solely responsible for the truthfulness and completeness of any data or documents you upload or connect.

9.4 Compliance with Third-Party Terms

If you link external services (e.g., Plaid), you must also comply with their terms of service. We are not liable for your breach of any third-party agreement.

10. Intellectual Property

10.1 Ownership

All rights, title, and interest in the Service and its content (software, text, graphics, models, algorithms) remain with Mellions or its licensors.

10.2 Limited License

Subject to your compliance with these Terms, we grant you a non-exclusive, revocable, non-transferable license to access and use the Services for personal, non-commercial purposes during your Account term.

10.3 Feedback & Beta Contributions

During the Beta, any suggestions, ideas, or materials you submit (collectively, "Feedback") become the property of Mellions. You hereby assign all rights in Feedback to Mellions, and we may use it without compensation.

10.4 Restrictions & Termination of License

You may not copy, modify, distribute, reverse engineer, or create derivative works from the Service. Upon termination or suspension of your Account, your license ends immediately, and you must cease all use.

11. Fees, Subscriptions & Billing

11.1 Freemium & Beta Terms

Mellions is currently in Beta. All features are free during Beta. Following commercial launch, certain features may require a paid subscription. Any Beta-only free access does not guarantee future pricing.

11.2 Subscription Plans & Taxes

When offered, paid subscriptions will be priced in Canadian Dollars (CAD), plus applicable sales taxes (e.g., GST/HST/QST). All fees will be clearly displayed before you confirm purchase.

11.3 Auto-Renewal & Notice

Paid subscriptions (post-Beta) renew automatically at the end of each billing period.

  • Ontario & BC users: We will send you an email at least 15 days before auto-renewal.
  • Québec users: You may cancel up to 48 hours before the renewal to avoid charges.

11.4 Payment Processing & Security

We use PCI DSS—compliant processors to handle credit/debit card payments. We do not store your full payment card details.

11.5 Payment Failures & Suspension

If a payment fails, we will retry up to 3 times over 7 days. If still unpaid, we will notify you and may suspend access to paid features until payment is made.

12. Warranties & Disclaimers

12.1 "As-Is"/"As-Available"

The Services are provided "as is" and "as available," without any express or implied warranties, except those non-waivable under applicable law.

12.2 Statutory Guarantees Reserved

Nothing in these Terms limits or excludes

  • Québec Consumer Protection Act mandatory warranties (e.g., merchantable quality, fitness for purpose).
  • Any other statutory guarantees under PIPEDA, provincial consumer protection laws, or the Competition Act.

12.3 Beta Disclaimer

During the Beta period, you acknowledge that features may be unstable or subject to change. We expressly disclaim all Beta-specific warranties to the fullest extent permitted by law.

12.4 Force Majeure

Neither party is liable for delays or failures due to events beyond reasonable control (natural disasters, cyberattacks, government actions). The affected party shall promptly notify the other and take reasonable steps to mitigate.

13. Limitation of Liability

Key Point:Important: This section significantly limits our liability. Please read carefully.

13.1 Cap on Direct Damages

To the fullest extent permitted by law, Mellions's total liability for direct damages is limited to the greater of:

  • The total fees you paid in the 6 months preceding the event; or
  • CAD 100.

13.2 Exclusion of Indirect & Consequential Damages

We shall not be liable for any indirect, special, incidental, consequential, punitive, or exemplary damages (lost profits, data, goodwill), even if advised of their possibility.

13.3 Carve-Out for Gross Negligence & Willful Misconduct

This limitation does not apply to liability arising from Mellions's gross negligence or willful misconduct.

13.4 Jurisdictional Caveat

All limits and exclusions are "to the extent permitted by applicable law." Consumer rights under the Québec CPAQ, Ontario CPA, BC CPA, and similar statutes are fully reserved.

14. Indemnification

14.1 User Indemnity

You agree to indemnify and hold harmless Mellions and its affiliates, officers, and agents from any third-party claims, liabilities, losses, damages, or expenses (including reasonable legal fees) arising out of:

  • Your breach of these Terms; or
  • Your negligence, fraud or willful misconduct.

14.2 Exclusion for Company Fault

You shall not be required to indemnify Mellions for claims arising from Mellions's own negligence, gross negligence, or willful misconduct.

15. Termination & Account Closure

15.1 User-Initiated Closure

You may close your Account at any time via your settings. Upon closure:

  • Your data will be scheduled for deletion or anonymization per our Privacy Policy.
  • You may export your User Data for 30 days post-closure.

15.2 Company-Initiated Suspension/Termination

We may suspend or terminate your Account for cause (e.g., breach of Terms, unlawful use). During Beta, we may also end Beta access with a 30 days' notice.

15.3 Survival of Key Clauses

Sections 6 (Cookies), 7 (Marketing), 10 (IP), 12 (Disclaimers), 13 (Liability), 14 (Indemnification), and this Section 15 survive termination or expiration.

16. Dispute Resolution & Governing Law

16.1 Informal Resolution

Before any formal dispute, please contact us at [email protected]. We will attempt to resolve it in good faith.

16.2 Mediation (Québec & Canada-Wide)

If unresolved in 30 days, either party may request non-binding mediation with a mutually agreed mediator.

16.3 No Mandatory Arbitration for Québec Consumers

Québec users retain the right to bring claims in Québec courts. Any arbitration or forum-selection clause does not apply unless the Québec user, after independent legal advice, expressly consents in writing.

16.4 Governing Law

These Terms are governed by the laws of the Province of Québec, and the federal laws of Canada.

16.5 Jurisdiction

All disputes will be heard exclusively in the courts of Montréal, Québec, except:

  • Québec consumers may choose to proceed in their home-province court.
  • Non-Québec users in Ontario or other provinces may bring claims in their local courts, provided they do so within two years of the event.

17. Accessibility

17.1 Standards & Scope

We strive to meet WCAG 2.1 Level AA, the Ontario Accessibility for Ontarians with Disabilities Act (AODA), the Accessible Canada Act (ACA), and applicable Québec accessibility laws.

17.2 Alternate Formats & Assistance

If you require content in an alternate format or assistance with access, please contact us at [email protected]. We aim to respond within 5 business days and implement fixes within 30 days, where feasible.

18. Language

18.1 French-First for Québec

For Québec users, the French version of these Terms is the primary, legal text. An English version is available only upon your express request and may not be more prominent than French.

18.2 Availability in English and in French

All communications (e.g., websites, app UI, Legal, Policies) will default to French for Québec users. English may be selected via a language toggle but remains secondary in prominence.

19. App-Store Specific Terms (iOS/Android)

19.1 Apple Third-Party Beneficiary

If you download via Apple App Store, Apple Inc. is a third-party beneficiary of these Terms and may enforce Section 19.2 against you.

19.2 Export Control User Warranty

You represent and warrant that you are not located in a country subject to Canadian or U.S. embargo and are not a prohibited party under Canadian or U.S. law.

19.3 Platform Rules Compliance

Your use of the App is subject to the rules of the relevant app store (Apple or Google). We are not responsible for any breach of those rules by you.

20. Changes to These Terms

20.1 Material Changes

We will provide at least 30 days' notice of any material changes (scope, pricing, rights/obligations) by email and in-app banner. Québec users may cancel without penalty before the changes take effect.

20.2 Minor Changes

Typographical corrections and clarifications will be effective upon posting. We will update the "Last Updated" date.

20.3 Your Acceptance

Your continued use after the effective date constitutes acceptance. For material changes, you may be required to click "I Accept" on the next sign-in.

21. Entire Agreement, Severability & No Waiver

21.1 Entire Agreement

These Terms, together with the Privacy Policy, and Cookie Policy, constitute the entire agreement between you and Mellions regarding the Services and supersede all prior or contemporaneous agreements, proposals or representations, whether written or oral, including any beta or pilot program agreements.

21.2 Severability

If any provision of these Terms is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.

21.3 No Waiver

Our failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision. A waiver is only effective if in writing and signed by an authorized representative of Mellions.

23. Beta & Pilot Program

23.1 Beta Status

Mellions is currently offered as a beta version. By participating in the beta program, you acknowledge that the Services may contain defects, incomplete features, or other issues.

23.2 Opt-In & Feedback

You must opt in expressly to use beta features by checking the "Beta Features" box in your Account settings. We may invite you to provide feedback; any suggestions become the exclusive property of LetA Technologies.

23.3 Limited Warranties

Beta features are provided "as is" and "as available" without any warranty or guarantee of performance, accuracy, or reliability. We disclaim all implied warranties, including merchantability or fitness for a particular purpose, to the fullest extent permitted by law.

23.4 Changes and Suspension

We may modify, suspend or discontinue any beta features at any time, with or without notice, in our sole discretion. We shall have no liability for any changes, suspensions or discontinuation.

23.5 Data Risk

Use of beta features may result in data loss or errors. You are responsible for backing up any data you deem important. Mellions disclaims liability for any unintended data loss arising from beta feature usage.

24. Your Responsibilities and Acceptable Use

  • Provide accurate, complete, and current information when you create and use your Account.
  • Keep your Account login details (like your password) secure and confidential. You must notify us immediately if you become aware of any unauthorized use of your Account.
  • Use the Services only for lawful purposes and in full accordance with these Terms.
  • Not attempt to disrupt, interfere with, or harm our Services, servers, or networks.
  • Not use the Services to engage in any fraudulent, illegal, or harmful activities, or activities that could harm other users, Mellions, or our Services.
  • Not attempt to reverse-engineer, decompile, disassemble, or otherwise try to discover the source code or underlying proprietary technology of any part of the Services.
  • Not use any automated means (such as bots or scrapers) to access the Services without our express prior written permission, unless it's through official API integrations that we provide.

Failing to follow these rules may lead to the suspension or termination of your Account. Please see Section 3.5 for more details on this process.
